Step by step

How do I register an LLC in Texas?

STEP 01

Choose and clear the name

The name has to be distinguishable from every entity already registered in Texas. We check availability before anything is filed.

We check, you decide
STEP 02

Name a registered agent

Texas requires an agent with a physical street address in the state to receive legal notices during business hours.

You choose the agent
STEP 03

File the certificate of formation

Form 205 goes to the Texas Secretary of State with the members, the management structure and the purpose of the company.

We prepare and file
STEP 04

Apply for the federal EIN

The EIN is the business tax ID. You need it to open a bank account, run payroll and file the company return.

We apply with the IRS
STEP 05

Write the operating agreement

Texas does not require one, but banks often ask for it and it settles how members split ownership, profit and decisions.

Recommended, not required
STEP 06

Set up the ongoing filings

The Texas franchise tax report is annual, and federal returns follow whichever structure you elected. We calendar both.

We track the dates

State filing fees are set by Texas and paid to the state, separate from our service fee. We tell you the current amount before you commit to anything.
